The E7400 is a later design and 2.8GHz instead of the 2.4GHz for the E6600.

However, notice that the lithography of the E7400 is 45nm and the E6600 is 65nm. As the compatible chipset is different, these may not be used on the same motherboard. You must use a processor from the same series as the original. The good news though is, you can use the later, 45nm CPU's, you may also use some very good quad core CPU's such as the Core2 Quad Q6700 @ 2.66GHz
In my view, a 4GB GTX 285 would be a mismatch in a dual core system. (I thought too that the largest GTX 285 was 2GB) If you can use the later, 45nm CPU's, you may consider a very good quad core CPU such as the Core2 Quad Q6700 @ 2.66GHz. You may already be using the GTX 285, but if not, check the size of the power supply of the intended system as the GTX 285 requires two additional power connections. The GTX 285 can draw over 200W. Dual core systems from the era of those CPU's may not have enough power.
Systems from that era when upgraded can be surprisingly good performers. I was give two such systems and for fun made them as fast as could for as little cost:
