How are you opening Powershell?

Look in Reliability History for any error codes, warnings, or even informational events that correspond with Powershell's failure to open. Event Viewer may also be capturing some related event.

Two immediate suggestions:

1) Via the command prompt run "sfc /scannow". Reason: possible file corruption.

Reference:

2) Reinstall Powershell. Reason: Old version installed.

As I understand your post, Version 1.0 is currently installed.
