problem with cusl2-c

I have a p3,866 on a asus cusl2-c,with a geforce 2 mx card
& 128 mb of ram.my system gives me "windows protection
error" when i try to shut down the system. The protection
error accurs very randomly.Can anyboby tell me what the
problem is.Could it be a problem with the ram or the board.
How can I find out which one is causing the problem.My
bios version is cslc1009.
