Since I didn't Find a proper solution over the web and google
I decided to contact Razor support, and seems razor want to make some extra profit for that they decided to trash Megalodon product in order for you to spend another 150-200 $ for new headset while meaglodon has no issues at all

In short Razor is overrated product , if I'm going to buy new headset I will make sure it's not razor anymore , no more keyboard, mouse or any type of principles I'm really pissed

I am sorry to inform you that the Razer Megalodon headset is not supported by Windows 8.1. Below are the basic requirements that are also stated on the packaging and the master guide.
PC with built-in USB port
Windows® XP SP2 or higher / x64 / Vista / Vista64
Works best with applications that support DirectX® 9.0c or higher.
Surround sound features may not be available in OpenAL® applications
The reason for this is because the headset was released way before the Windows 8.1.
