What are you going to do with the system? Do you want to upgrade later?
If you do not want to buy a new cpu later you might be best of with a second hand board and mem, it's a waste to buy a new mobo to use with a 1.7 IMO.

Well its for gaming mostly Flight Sim to be exact. I plan on upgrading my memory and Vid Card actually, but i can't do that without gettin a new MOBO.

Some suggestions of boards I don't know anything abou but which are very cheap and should satisfy your needs (if you don't want to upgrade the CPU that is):
-MSI PT8 Neo-V
-Asus P4S800, any type of board
Aopen has some really cheap boards, so does ASRock but ASRock isn't really like "widely recommended"....

This is just a result of a quick search, wait for some more reactions..

Asus P4P800. It's one of the few boards remaining that support the Williamette core P4.

If you want something cheaper, look around for a used 845 chipset board. AGP8x? You'll never need more than 4x with that CPU, and all current cards support 4x mode.

So if i were to skip the memory and mono change, and just upgrade to a higher Vid card would that do me any good ?

A new video card can help an old system, but the old system will drag the new card down. I probably wouldn't bother with anything better than a 9600 Pro.
