Do i take out the battery before i update the BIOS or after?

After.

You should clear the CMOS memory and reenter the data *after* you update the
BIOS. On my K8V part of the process of clearing the CMOS memory is to remove
the battery. Check your manual for instructions. Don't forget to reload the
data. The easiest method is to load the defaults (F5 on my board), then fine
tune them.

You don't have to touch the battery as it's unrelated with the BIOS
flashing procedure.

Given the content of your question be sure to read the instructions for
flashing BIOS very carefully before proceeding, and be sure to make a
proper and working backup.

Also ask yourself the question why you want to update BIOS. If
everything is working, there might be no need to flash it. Only if you
experience hardware problems you think or know are or may be related to
BIOS flash it.

I have ordered a 3.4GHz Prescott CPU and i am running Windows XP SP2.

No, you do not remove the battery before doing a bios upgrade.

Obviously, you are a novice. Be very sure that you understand what you
are doing and how to do it correctly before you start this process, it's
possible to effectively destroy the motherboard if you do it wrong.
