Vista installation help

I am installing a new hard drive to my computer to be my new main drive, it having vista and everything else. I have a windows vista ultimate upgrade disk and I know that I need a previous version of Vista to install it. Could I install the upgrade version of vista if I boot with my old drive that has windows already and install Vista on the new hard drive? If so, is this legal
