What would happen if I upgrade my CPU only (OS Reinstall or not)

Title says it all, upgrading my CPU and I'm wondering what would i need to do after the new CPU is in the motherboard, will I need to reinstall windows, clear cmos/update bios or any of that stuff? (only asking as i've saw some posts about it and just want to double check)

I did it once going from an Athlon X2 to a Phenom II and didn't need to reinstall windows. A BIOS update was necessary in my situation, you'll have to do some research to check if your board and BIOS supports your new CPU. And clearing CMOS is always a good idea.
install new CPU (assuming the motherboard and rest of system are staying and CPU is only part changed) power on.
the BIOS should automatically setup the CPU if it is supported with no intervention.
you may need to update the BIOS to support the CPU in which case update the BIOS, swap CPU's, and boot.
changing the motherboard would warrant a re-installation not the CPU, the CPU can be upgraded/downgraded all day without triggering a reactivation

Solution
Depending on the board and the processor you may have to update your bios for it to recognize the new processor. If you're keeping the same motherboard you should not have to reinstall your OS.
 
the process will vary by manufacturer and model. the instructions will be well described in the manual which is available on the makers site. you can use CPUz (www.cpuid.com) click on motherboard tab and it will give you the model if you do not already know.
