Yea, same motherboard. Just want to change out this old Athlon 2 x4 640 for an AMD FX-8350.

It will support FX 8350 but barely, you may be better off with FX 6350.
W8 licensing depends on motherboard only, nothing else. Wouldn't even have to reinstall it.
