Will my PC be able to use the ATI 4850 to its full potential

Hello, I have an Asus cm-5671 it has an ATI Msi hd4350 512mb (bad card i no), e5500 processor, 4gb ram, 1T hard drive, 300 watt power supply, (going to upgrade it but not sure what to, so if you could help on that to) thanks.

Yes it will be a good match. Without upgrading the PSU you could get away with HD5670. A good quality 450watt PSU would be sufficient for the HD4850 http://www.newegg.com/Product/Product.aspx?Item=N82E16817139003

Another question, would i need any type of cooling i am not planning on 'oc' or will the 4850 fan be good enough?
Im planning on getting the XFX 4850 if that makes a difference and is the XFX a good choice?

XFX with their dual lifetime warranty in North America is an excellent choice. The installed cooler on the card is sufficient.
