windows oem?

What is the difference between a retail version of windows and the oem version? I can't seem to find out. I first thought only oem versions came with new computers but I see a lot of websites selling it seperatly for a lot less that the retail version. Is this legal?

The OEM version doesn't come in a fancy box. Just the CD, Manual w/CD sticker, and floppy disk (I think). Legal...yes.

The OEM is only to be sold with a system or what is considered to be one (sometimes even just a HDD).
