Any bottlenecks on GTX 750ti on Pentium E5700?

Mobo: MSI G41M-SP20
RAM: 4GB 800Mhz
CPU: Intel Pentium E5700 Dual core @ 3.00 GHz
PSU: 420w
Current GPU: Asus ENGT240 1GB DDR3

So I really want to upgrade my pc and play some games on normal settings like gta 5 and fallout and get around 50fps. When i play GTA 5 on lowest settings im getting like 20fps.

I have enough money to upgrade CPU+MOBO+RAM or GPU+RAM. Will I get Playable framerate on GTA 5 on normal if i get a GTX 750ti and 8Gb of ram? Please post your opinions and thoughts i need your help!

It will botteleck it a bit but I would buy that 750Ti and afterwards upgrade the CPU to Intel core 2 quad q6600+ (Same socket,mothermoard etc)

Also your ram may also be too little and slow
It will bottleneck it a bit. A solid setup for a GTX 750Ti is an LGA 1150 M-ATX board (nothing too expensive) like Gigabyte H81M-H, 8GB DDR3 and a Pentium G3258.

Overall, it is the best 750Ti and will run GTA V on Medium/High settings at about 35FPS and all medium settings at possibly 50FPS (not too sure on that one).
