mysterious reboot

My system tends to shut down (but fans and system LED stay on) and stay in that condition for seconds up to minutes before it boots again. When it boots, I might get one of the following three: 1. audio message saying "system fail CPU test". 2. enter into BIOS and say CPU has been replaced, need to set frequency. 3. start up normally. However, when I am lucky enough to see it start up normally, the system would repeat this shut-down process again, sometimes only seconds after POST.
Sometimes I can use the computer normal for weeks without running into this problem

These are the parts in my system:
AMDXP1800+ boxed with heat sink and fan
Asus A7V333
Kingston PC2700 256MB
Antec TruPower 430W
Antec Performace plus case

Any help is greatly appreciated!!

with this, i don't know where is the problem..since it can work properly, how come it won't work for longer?
well..here is some basic stuff you can try..
update bios
reinstall Windows
..
replace ur cpu? try another stick of ram?

you should try run the program like 3Dmark 10times to make sure that your system is able to be working hard and stable first
 
Thats what I'd do, run 3DMark over and over again and see if it pukes. If it does, you most likely have a heat problem. Do you have a Hardware Monitor program to see what you temps are for your CPU? How about GFX card? It may be getting hot too. Are all you fans working?

This seems like a heat problem to me.
