Okay, maybe try to find Asrock dual (939)with am2 adapter.
Pick an am2 proc that fits your budget and go from there.
You can reuse everything else. I think.
(Ya'll correct me if I'm wrong.)That's what I did.
I went 939,so I can't comment on the functionality of the am2 adapter.
Build up cash reserves and up grade video because you got
both slots.(country&western)agp&pcie.
You should be able to get an Opty & that MB for $300.

Of Course ,I'm like waaaaaayyy drunk.
But, at least I speak from experience.

forget who makes it but there was an AM2 motherboard that could use DDR or DDR2 memory you might research this, then you ould use your ram and go with an AM2 cpu. Best of both worlds.
 
you need to sell your current hardware on ebay. I was in the same situation as the OP and I sold my:
mobo A7N8X-E deluxe $80
CPU XP2500+ $50
Heatsint&Fan SI-97A 3-speed quietfan $58!!!!
Mem 2x512MB OCZ DDR400/DDR600 $180
Vid card AIW X800XT $175

Those are approx moneys I got for parts but I got well over $500, I got close to $600 for my parts

You then take your money and buy:
GA-965P-DS3 $115
2x1GB stix Partiot Extreme DDR800 $150
E4300 $150
$150 for a decent PCI-E vid card and your in the game

you put in a $100 of your own money if you dont get enough for your parts on ebay. That E4300 will instantly be set to 266FSB by you in the bios and you've basically have a E6600 core 2 Duo and your in the game baby!!! My E4300 runs 9x334 = 3.0Ghz without even trying, but I have a Scythe ninja, another $40.
