Worth upgrading 3.8 GHz OC'd Phenom II 955 BE?

I need to get a new MB and RAM soon. Is it worth replacing my processor and getting a new Intel setup for another $200? I would like to do some overclocking.

I've had my processor up to 4 GHz, but it runs close to 60c when I do so I've kept it at 3.8 for about 1.5 years now. What kind of Intel processor will this compare to?
