Yes it is compatible, but you may need a BIOS update prior to installing the CPU.
As for the overclock question, no one can really answer that, there are a lot of variables that affect the stability of an overclock and no CPU is the same, so they will all perform a bit differently.
That and if you're overclocking, you'll want a good quality motherboard and PSU.
