I see that my first posting was confusing, here is the corrected version.

Not over clocking cpu or ram - straight on defaults...,

Just built system with kv8-max3 mobo, amd64 3200+ cpu,
WITH [2x1024MB] PC3200 400Mhz DDR black diamond ram,

2x80gb maxtor hd.connected to raid headers 1 & 2, for
raid array '0'.

install win2k pro OS from boot floppies. Windows 2000 blue setup screen
appears, asks if need to load third party drivers for scsi or raid, then
says loading files [machine ID data], then loading files [windows 2000
executive], then stops with the message on screen that says;

file\ntkrnlmp.exe could not be loaded.
the error code is 7
setup cannot continue

What is error code 7 and what did I miss

Looks like this may apply to your problem. Here's part of it:
1.. "When you receive the "Press F6 to load SCSI/Raid Drivers" prompt,
press F7 to bypass Advanced Configuration and PowerInterface (ACPI)
detection."

You need to load the floppy that came with the KV8, This has the raid
controller drivers on it. Hit F6 when prompted, put the floppy in and follow
the directions.
