No. You don't need to format or re-install Windows if just upgrading the CPU.

windows actually is able to handle switching hardware as such, pretty weird because u could swap your hdd into a similar system and it wouldnt know the difference

If your using the same motherboard their no reason to reinstall Windows.
Check your BIOS version to make sure it supports the new processor (update if needed), reset CMOS, install new processor, boot up and go.
