I have updated BIOS and all the drivers. Memory should be compatible with the MoBo.
Any ideas what to do or where the problem(s) is/are?

According to an article on this website, the only brand that was acceptable with your board is crucial (micron). See if you can return your memory and exchange it, or possibly the mobo. Tom's tested several brands of memory with socket 754 boards.

Memory issues are a major reason why I've been recommending only nForce3 250 chipset boards on the high end and SiS 755 chipset boards on the low end.
