Heatshrink and Fan for CPU question

Hi,

I am a newbie to hardware.

I have Pentium 4 3.4GHz CPU and I found a good deal (from Craiglist) for E6420, but the person sells CPU only.

Will my heatshrink and fan be ok for this new CPU and, if not, what can I do?

Thank you very much ct1615! I'm excited for this upgrade since it is much better than my current P4! lol It did serve me well.
