installing new ram conflicting

Hello I have this newly bought ram which is 4gb ram, that i installed in my mobo, suddenly when i upgraded from win 7 ultimate 32bit to win7 64 bit i got bsod and/or my computer restart. but when i put back my old ram which is 1gb+1gbram its work smooth and fine, no restart, no bsod.
but here is the twist, when my newly bought 4gbram inserted in my mobo without my video card its work fine and smooth.

600 PSU (generic)
hdd is toshiba 500gb
