Have you created a bootable floppy with <A HREF="http://www.majorgeeks.com/download4226.html" target="_new">Memtest86+</A> and tested the memory? If you've done it with memtest, then have you done it with <A HREF="http://majorgeeks.com/download92.html" target="_new">SiSoft Sandra</A> while in windows?

Have you disabled the auto reboot function? Are you getting any BSODs? Checked for <A HREF="http://www.motherboardrepair.com/index.php?sec=images" target="_new">Bad capacitors</A>?

Let's talk about your memory then. What make is it. Does Msi like it for that mobo? What kind of timings are you using? The big one, what voltage are you giving it.
The next thing I would try, would be to up the voltage to 2.7, and slack the timings off a notch.
