New Computer Wont stop restarting

just built a new system with a

asus m3n ht m/b
amd 9950
300gb velociraptor
4bg corsair dominator ddr 2 1066
with a 1200w psu

every time i turn it on it powers up then all the fans and power slowly turn off every 1 second it restarts

First thing I would try would be another power supply(doesn't have to be that monster 1200 watter I wouldn't think, just a 'known good' one). If the same thing happens, I'd RMA the motherboard. I think the psu and mobo are not playing nice.
