P3BF CPU upgrade

I am currently running a PIII 500 overclocked to 850MHz

Can I use this cpu on my board III 933MHz 133MHz 256KB Socket 370 CPU.
It seems like a good price. Do you think it is worth the upgrade and
increased speed. I don't plan on building a new computer for at least
a year until 64 bit cpus are more common place and mainstream.
