2. it seems like you have an amd rig to update. if no, will you consider other options?
3. what are your full current specs?

as for your questions...
1. depends on tasks.
for example, fx has aes hardware support, so it'd perform better for encryption.
for gaming, overclocked 965 b.e. would be better. you'll need a good cpu cooler for overclocking.
