when trying to upgrade from winme to winxp i get this error similar to this:

PROCESS1_INITIALIZATION_FAILED If this is the first time you have seen this stop error screen, restart your computer. If this screen appears again, check to make sure any new hardware or software is properly installed. If this is a new installation, ask your hardware or software manufacturer for any windows updates you might need.
If problems continue, disable or remove any newly installed hardware or software. Disable BIOS memory options such as caching or shadowing. If you need to use Safe Mode to remove or disable components, restart your computer, press F8 to select Advanced Startup Options, and then select Safe Mode.

the main difference is that it also suggest that i run CHKDSK /F. i ran scandisk instead and still get this error. i know this is covered under microsofts tech support FAQ's, but the solution has not worked for me. this is a newly built computer and the only software on it is winme and the updated drivers necessary for the hardware.
i upgraded on my other pc with no problems whatsoever.
