Please tell me what different between: Phenom IIx4 945 Model #: HDX945WFGMBOX and Model #: HDX945WFGIBOX

And could you tell me which one WILL WORK for my mobo:

As you can clearly see from your link:

Max TDP = 95 Watt

Either will work, provided they have a TDP of 95W or less. Both meet these requirements and will work in your computer.
The HDX945WFGMBOX is better than the other one though because it's stepping is C3, so it is the newest version of the Phenom II x4 945. C3, I believe tends to run a slight amount cooler and overclock better. It will use slightly less voltage. There will be no performance increase at stock though from one to the other.

Reason I ask, because I want to make sure it work with that mobo. Last time I bought 955 model-125W. And it was not work with my mobo, cause mobo only support up to 95W.

I see you mention stepping C3, what is that about?

Where did you learn that? To my knowledge it performs the same.
Other than that, yeah that pretty much sums up the advantages of C3.
