Yes, you can buy the upgrade version and for licensing purposes it's valid for replacing the same edition of an existing XP installation (i.e., XP Professional --> Windows 7 Professional).

If you have 32-bit XP and want to upgrade to Windows 7 32-bit, then you can use the upgrade kit to do an "upgrade in place" of your existing system which will preserve all your programs and settings.

If you have 32-bit XP and want to upgrade to Windows 7 64-bit, then you must use the upgrade kit to do a "clean install" which will require you reinstall all your programs and migrate all your data.
 

You can't do an inplace upgrade from XP full stop, a clean install is required in all cases.

Yep, Jonmor is correct. You can purchase an upgrade version of Windows7; however you have to do a clean installation. This means your computer will be wiped in the process, allowing you to start fresh with Windows 7. Be sure to back up any files you'd like to save to an external hard drive before beginning the installation process. Also, since you are running XP, it's a good idea to run the Windows 7 Upgrade Advisor. It will scan your computer and let you know if it's ready to successfully run Windows 7. If it is not ready, the Upgrade Advisor will tell you what changes to make before upgrading.
