X2 255 to x2 265 worth it?

Im currently using a X2 255 with HD4850, but im planing to upgrade
mi CPU (x2 265) and VGA (HD6850).

do i need really to buy the x2 265?? its only 300hz more

i dont bother upgrading to gaing 2-5 fps.

thoughts?

Why don't you OC your X2 a little? And even if you don't, the CPU change will hardly be an upgrade, it's not noticeable. It would probably be even less than 2-5 fps in most cases. What res is your monitor anyway?

i play at 1680*1050
i dont like to OC ^^

No, it's not worth it. if you don't want to overclock then you need to look at a bigger performance increase at stock (ie extra core). It's only 200 MHz more, not 300.

Get an Athlon II X4 or at least X3. You will see a bigger performance in some multithreaded games.
