CPUs again!!

I have a question. I hope that this is not a joke to you guys but I have to ask anyway. I did some research on the price for an AMD Athlon Thunderbird K7 1GHZ. There are a whole lots of different prices which confused me. Ok, here is the westion! An AMD 1ghz OEM prices $171.00 and another same one but for retail price of $239.00 (including fan) with 200mhz FSB 3Dnow 128Kb L1 cache 256Kb L2 cache, WHICH ONE SHOULD I GET?
I just want a solid performer! Moreover, I may get the 1.2GHZ though cuz I'm not sure if it fits the ABIT KT7 RAID.
 
It can get confusing as some sites quite oem buy prices for quantities (usually 100 or more), Which does not help us out any when we only want 1
 
The retail CPU has a guarantee as long as you don't overclock it. It also comes with a factory heatsink and fan (I think). The heatsink is glued to the CPU.

If you do plan to overclock you will need a better heatsink and fan and since you would be voiding the warranty of the retail cpu you might as well buy the OEM CPU. Sometimes the vendor will offer a token guarantee, like 30 days or no DOA but this is not always the case.
