Yes, that CPU will work. It is the only hyperthreading CPU that will, on
that system.
The 8250 will take any 400 or 533 MHz bus Northwood or Willamette CPU (NOT
the new Prescott core, 1M cache - those will not work, nor will any 800 MHz
bus CPU).

I have a dimension 8200 witth a 1.9 G P4 & 400 FSB. If I upgrade the CPU,
coan I retain the current cooling?

That system is 400 MHz bus, only - it will not work with a 3.06.
Fastest CPU you can use is PowerLeap's 3.0/400 -- comes with an adapter you
don't need, and for a high price ($350).

Better would be to get a 2.6/400 or 2.8/400 - for about $160-180, the
performance difference between those and the 3.0 are negligible.

Yes, the stock heatsink should work fine with a 2.6/2.8.
