PC Stops after installing SP2

I have a PC with the folllowing Spec.
Intel Pentium4 1.5gig processor, Intel Desktop Motherboard D845WN
256MB RAM. ATI Rage 128 PRO AGP 4x Graphics card.

The original 40Gig Hard drive is dodgy, clunking and occasionally wont boot up.

I have replaced the Hard drive with a new Hitachi Deskstar 80Gb.
I formatted one 80gig partition, and installed Windows XP professional. Everything works OK.
I have installed SP2 and on reboot it stops with a BSOD very time
I can go into Safe Mode OK
The stop message is a Stop 0x00000024 which points to a NTFS file system error.
I have swapped the hard drive for another new on with same results.
I can recover the system to pre SP2 and it's OK.
I have tried an old spare 10gig hard drive reformatting from scratch and this works OK with SP2.
Also I have tried the new drive in a different PC and that is OK.

Any Ideas I have spent 2 days on this already.

This is what I'd do:

Disable hardware you don't need to boot up like sound, network card and such and uninstall your vid card from the device manager.
(start, run then type devmgmt.msc and click ok) and disable. You can disable some in the BIOS too to troubleshoot.

Disable your extra services (start, run then type services.msc and click ok)

Go to add/remove programs and remove anything that may be a driver installation that isn't required to boot (like video drivers)

After that reboot and try to get into Windows. If it works then start enabling things until you find out what causes it.

If that doesn't work then boot up in safe mode, go to your windows folder and delete ntbtlog.txt (boot log). Reboot and hit your f8 to get the boot menu and select enable boot logging. Let it do its crash then reboot and hit f8 and go into safe mode. Once in safe mode check the ntbtlog.txt for errors. It'll show the previous boot up plus the safe mode bootup.

Thanks for help. I downloaded all the Xp drivers from the motherboard from the Intel web site.
Now I can install SP2 OK, everything is fine.
