I have an Intel Pentium D 925 Processor 800MHz

will it work with DDR3 1333 in gigabyte mother board G41MT-S2P??
 
Seriously, the answer is YES! :) Your motherboard supports socket 775 and will use 2 x DDR3 1333 (O.C). However, you may have to increase the voltage of the ram or it might just be incompatible with your board.
 



But the processor fsb is 800Mhz is not matching to the RAM does it make any problem?
 


Your processor Pentium D 925 runs @ 3.00GHz x 2 (800MHz FSB). It will be fine. But, again, please read my previous post if you are going to use 1333MHz Memory.
I have edited my post, because, I have to double check my documents (Microsoft Excel table) regarding your motherboard and processor. Sorry about that.

Apart from that, your motherboard should have a modifiable memory multiplier that'll allow you to increase memory speed to 1333MHz without touching the FSB.
 


Hey, 1333MHz is a hit or miss if he can stabilize voltages and multiply the memory properly. If not, It may cause a loop - reboot or refuse to boot.
Well, he's asking for OC type memory after all...

Yes, only if you know how to use the motherboard's multiplier and increase voltages properly without killing it. It's your computer, your hardware...

You will / may need to adjust it manually. It depends... so check your Bios configuration once you have the correct type of memory.
